1. Introduction & Acceptance of Terms

Welcome to Midas Financial. These Terms and Conditions ("Terms") govern your access to and use of our membership-based web platform and application (collectively referred to as the "Platform"). By accessing, registering for, or using Midas Financial in any manner, you acknowledge and agree to be bound by these Terms, which constitute a legally binding agreement between you (the "User") and Midas Financial (the "Company"). If you do not agree to any of the provisions contained herein, you must immediately discontinue use of the Platform.

2. Membership & Account Responsibilities

Full access to the Platform requires an active paid membership and a registered user account. Users must provide accurate and complete information during the registration process and maintain the security of their account credentials. Users must be at least 18 years of age to register for an account and use the Platform.

3. Referral Fees

Midas Financial shall pay a Referral Fee to the Broker affiliate for all loans generated through referrals or direct connections made by the Broker affiliate as evidenced by a completed submission form into the Midas System and CRM.

The Referral Fee will be 25% of net revenue afforded to Midas, after platform fees are paid. The Broker affiliate's Marketing Fee shall be paid to the Broker affiliate on a monthly basis. The Broker affiliate's Marketing Fee shall be paid to the Broker affiliate electronically and shall be received by the Broker affiliate within fifteen (15) days of the Midas receiving the revenue or commission.

4. User Conduct & Acceptable Use Policy

Users agree to engage respectfully and professionally within the Platform, refraining from spamming, harassment, hate speech, fraudulent behavior, or any conduct that violates applicable laws. Users shall not:

• Engage in illegal or unethical activities
• Violate others' intellectual property rights
• Transmit malware or harmful code
• Attempt unauthorized access to the Platform
• Interfere with Platform operations or security

5. Intellectual Property Rights

All intellectual property, including but not limited to trademarks, copyrights, software, data, and proprietary materials provided within the Platform, remains the sole property of Midas Financial and is protected under applicable intellectual property laws.

6. Limitation of Liability

Midas Financial is provided on an "as-is" basis. Midas Financial disclaims all warranties, expressed or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Midas Financial be liable for indirect, incidental, special, consequential, or punitive damages.

7. Indemnification

Users agree to indemnify and hold harmless Midas Financial, its officers, employees, and agents from any claims, damages, losses, or expenses arising from the user's use of the Platform or violation of these Terms.

8. Termination of Membership

Midas Financial reserves the right to suspend or terminate user accounts at its sole discretion for violations of these Terms or for any reason deemed necessary to protect the Platform's integrity.

9. Modifications to Terms

Midas Financial reserves the right to modify these Terms at any time. Continued use of the Platform following modifications constitutes acceptance of the updated Terms.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United States and applicable state laws. Users irrevocably submit to the exclusive jurisdiction of the courts located in Arizona.
